As a matter of policy, Canyon does not make or hold a direct investment in an issuer while Canyon is providing paid investor-relations or investor-awareness services to that issuer. Canyon personnel and contractors assigned to an engagement are prohibited from purchasing, selling, or beneficially owning the client’s securities during the engagement and any applicable blackout period.

Capital and Funding Activities

Canyon may separately evaluate direct investment opportunities solely as principal for its own account. Canyon does not act as an intermediary in securities transactions, solicit investors, negotiate or execute securities transactions for others, handle investor funds or securities, or receive commissions or transaction-based compensation for securities placements.

When securities-placement services are required, they are performed through appropriately licensed and registered broker-dealer partners under separate arrangements.
